1. Services and Engagement

1.2 Contract-Based Model – NextGen Analytics is a facilitator of AI consulting services and does not act as an employer. All individuals engaged through our platform operate as independent contractors and are responsible for their own taxes, benefits, and compliance with local employment laws.
1.3 Service Limitations – While we strive for excellence, NextGen Analytics does not guarantee specific outcomes or results from our consulting services. Clients acknowledge that AI implementations involve varying levels of uncertainty and evolving technologies.


2. Independent Contractor Relationships

2.1 No Employment Relationship – All professionals engaged through NextGen Analytics are independent contractors. There is no employer-employee relationship, and no contractor shall claim employment rights, benefits, or protections under any jurisdiction’s labor laws.
2.2 Client Engagement – Contractors provide services directly to clients under agreed terms. NextGen Analytics does not assume liability for the actions, omissions, or work product of any independent contractor.
2.3 Tax and Legal Responsibility – Independent contractors are responsible for managing their own taxes, insurance, and legal compliance. NextGen Analytics does not withhold taxes, provide benefits, or assume responsibility for contractor obligations.


3. Client Responsibilities

3.1 Scope of Work – Clients must clearly define project requirements, deliverables, and timelines before engagements begin. Any changes to the scope may require renegotiation of terms.
3.2 Payments and Fees – Clients agree to pay fees as outlined in service agreements. Late payments may result in suspension or termination of services.
3.3 Confidentiality and Data Security – Clients are responsible for providing secure access to necessary resources while ensuring compliance with applicable data privacy regulations.


4. Intellectual Property

4.1 Ownership of Work – Unless otherwise agreed in writing, intellectual property rights for AI solutions developed during engagements remain with the client upon full payment. NextGen Analytics retains the right to use generalized knowledge and expertise developed during projects.
4.2 Use of Proprietary Tools – NextGen Analytics may use proprietary frameworks or pre-built AI components to accelerate project delivery. Use of these tools does not transfer ownership unless explicitly stated in the service agreement.


5. Limitation of Liability

5.1 No Warranty – NextGen Analytics provides AI consulting services “as is” and makes no warranties, express or implied, regarding accuracy, performance, or fitness for a particular purpose.
5.2 Liability Cap – In no event shall NextGen Analytics be liable for any indirect, incidental, or consequential damages. Our total liability for any claim shall not exceed the total fees paid by the client for the specific engagement.
5.3 Indemnification – Clients agree to indemnify and hold NextGen Analytics harmless from any claims, damages, or liabilities arising from their use of AI solutions implemented during engagements.


6. Confidentiality and Data Protection

6.1 Non-Disclosure – Both parties agree to maintain confidentiality of proprietary information shared during engagements. Any data or proprietary materials shared with NextGen Analytics will be protected in accordance with applicable laws and best practices.
6.2 Data Usage – NextGen Analytics does not retain or use client data beyond the scope of engagement. Any use of AI models trained on client data will be subject to agreed-upon data governance policies.


7. Termination of Services

7.1 Termination by Client – Clients may terminate an engagement upon written notice, subject to any agreed cancellation fees or obligations.
7.2 Termination by NextGen Analytics – We reserve the right to terminate an engagement if a client fails to meet payment obligations, breaches these Terms, or engages in unethical conduct.
7.3 Effect of Termination – Upon termination, clients remain responsible for any outstanding fees, and all obligations regarding confidentiality and intellectual property will survive termination.


8. Governing Law and Dispute Resolution

8.1 Jurisdiction – These Terms and any disputes arising from them shall be governed by the laws of the State of [Insert State], without regard to conflict of law principles.
8.2 Dispute Resolution – Any disputes shall first be attempted to be resolved through negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA).
